This Website, Mobile App, Hosting, Domain & Subscription Policy governs websites, mobile applications, hosting, domains, software, designs, templates, technology, infrastructure, digital marketing services, and related digital services provided by WebGenius California LLC (“WebGenius,” “we,” “us,” or “our”).
By creating an account, subscribing to a WebGenius service, accepting or paying an invoice, executing a service agreement, providing a payment method, accessing a WebGenius-powered website or mobile application, or otherwise using our services, the Client (“Client,” “you,” or “your”) agrees to this Policy together with any applicable proposal, invoice, order, service agreement, subscription terms, and Terms and Conditions.
1. Subscription Service — Not a Website or Software Purchase
WebGenius websites and software-based services are provided as subscription-based managed services and proprietary technology platforms.
The Client is purchasing a limited right to use the applicable website, application, platform, and WebGenius services while the applicable subscription remains active and fully paid.
The Client is not purchasing the website software, source code, website template, website design, UX/UI, HTML, CSS, JavaScript, front-end, back-end, CMS, application source code, mobile application technology, infrastructure, or WebGenius platform itself.
Payment of any amount — whether over one month, one year, ten years, or any other period — does not convert the subscription into ownership of the website, application, platform, source code, design, or WebGenius technology.
The total amount historically paid by a Client does not create any ownership interest in WebGenius technology or intellectual property.
This remains true regardless of whether the Client has paid:
· Setup fees
· Development fees
· Design fees
· Customization fees
· Hosting fees
· Monthly subscription fees
· Annual subscription fees
· Maintenance fees
· Support fees
· Integration fees
· Application development or setup fees
· Other service fees
The Client receives a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the applicable services only during an active and paid subscription.
When the subscription ends, the right to use the applicable WebGenius website, application, platform, or service ends.
2. The Website Cannot Be Taken to Another Provider
A WebGenius website is part of the WebGenius platform and is not sold as a transferable website product.
Changing a domain's DNS, nameservers, hosting provider, registrar, server, or other technical settings does not transfer the WebGenius website.
The Client may own or control its domain name. However, ownership of a domain does not create ownership of the WebGenius website operating on that domain.
If the Client moves its domain to another provider, WebGenius is not required to provide a copy of the WebGenius website for use on that provider.
The Client may point its domain to a newly created website elsewhere, but the existing WebGenius website does not move with the domain.
3. WebGenius Owns the Website and Application Technology and Implementation
All WebGenius-created or WebGenius-provided website and mobile application technology, design, architecture, and implementation remain the exclusive property of WebGenius and/or its licensors.
This includes, without limitation:
· Website templates
· Custom templates
· Mobile application templates and application frameworks
· Visual designs
· Website and application appearance
· “Look and feel”
· Page and screen layouts
· Website and application structure
· UX design
· UI design
· Navigation systems
· Responsive design
· Mobile and desktop layouts
· Design systems
· Components and sections
· Headers and footers
· Forms and interactive elements
· HTML
· CSS
· JavaScript
· Front-end code
· Back-end code
· iOS application code
· Android application code
· Source code
· Object code
· Frameworks
· Libraries
· Scripts
· APIs
· Modules
· Plugins developed or customized by WebGenius
· CMS technology
· Database structures
· Administrative systems
· Automation systems
· Internal tools
· Software
· Integrations
· Algorithms
· Development methods
· Technical architecture
· Hosting configurations
· Infrastructure
· Improvements
· Modifications
· Derivative works
This applies even when WebGenius creates a custom appearance, custom layout, custom functionality, or custom application specifically for one Client.
A custom website or mobile application does not mean that its design, template, UX/UI, source code, implementation, framework, or underlying technology has been sold or transferred to the Client.
4. No Right to Copy the Website or Application Appearance, Template, or Code
The Client may not require WebGenius to provide the website or application design, template, layout, source code, HTML, CSS, JavaScript, iOS code, Android code, backend, framework, or other implementation for use with another developer, hosting company, software company, website platform, application developer, or service provider.
The Client may not copy, extract, download, reproduce, transfer, sublicense, redistribute, or reuse WebGenius proprietary technology.
For clarity, this includes the visual appearance, layout, page or screen composition, templates, UX/UI, HTML structure, CSS styling, JavaScript implementation, responsive implementation, component structure, front-end implementation, back-end implementation, application code, and proprietary technical architecture.
Ownership of Client Content does not create ownership of the system, design, code, or technology used to display, process, or operate that content.
5. Client Content Remains the Client's
The Client retains ownership of original materials that the Client owned independently and supplied to WebGenius.
Examples may include:
· Client-provided photographs
· Client-owned logos
· Client-owned trademarks
· Original text supplied by the Client
· Original blog posts supplied by the Client
· Videos supplied by the Client
· Product information supplied by the Client
· Service information supplied by the Client
· Client customer records
· Client business data
· Other original Client-owned materials
The Client may manually retain, copy, download, or otherwise preserve its own materials where technically available.
However, Client Content does not include WebGenius designs, templates, HTML, CSS, JavaScript, software, layouts, components, source code, application code, database architecture, frameworks, or other proprietary technology.
6. Client Content and Data Export
A Client may request that WebGenius assist with exporting eligible Client-owned content or data.
Where technically available, exported information may include:
· Client-owned text
· Client-supplied photographs
· Client-supplied media
· Blog content owned by the Client
· Product or service information
· Certain customer information
· Certain business records
· Certain database information
· CSV or similar standard data files
An export does not include an operational WebGenius website or mobile application and does not include WebGenius templates, layouts, UX/UI, HTML, CSS, JavaScript, front-end code, back-end code, mobile application source code, CMS code, software, frameworks, libraries, components, internal systems, technical architecture, or proprietary database structures.
7. Fees for Manual Export Assistance
Where WebGenius is requested to manually collect, organize, prepare, convert, download, or package Client Content, additional fees may apply.
The cost and estimated completion time may depend on the amount of data, number of pages or screens, number and size of files, photographs, videos, database size, complexity, requested file format, required technical work, and estimated labor time.
Before beginning paid export work, WebGenius will provide an estimate of the applicable cost and estimated completion period. The Client may then decide whether to proceed.
8. Mobile Applications — Subscription-Based Service
WebGenius iOS and Android applications are provided under the same subscription-based service model as WebGenius websites.
The Client receives the right to use the mobile application while the applicable subscription remains active and fully paid. Payment for application design, development, customization, setup, publication, maintenance, support, or recurring service does not transfer ownership of the source code, application framework, UX/UI, design system, backend, APIs, proprietary modules, libraries, or WebGenius application technology.
If the applicable mobile application subscription is canceled, terminated, or unpaid, WebGenius may discontinue the services, backend functionality, maintenance, support, integrations, hosting, APIs, or other WebGenius-controlled components required for the application to operate. As a result, some or all application functionality may become unavailable.
The Client may not take, copy, transfer, reuse, resell, or provide the WebGenius application source code, design, framework, or proprietary implementation to another developer or provider.
9. Apple App Store and Google Play Accounts
Where applicable, WebGenius may assist the Client in creating, configuring, or managing Apple Developer, App Store Connect, Google Play Console, or similar publishing accounts in the Client’s or Client company’s name.
The Client is responsible for providing accurate account information, completing identity or business verification requirements, and maintaining a valid payment method for any membership, registration, renewal, platform, transaction, or other fees charged directly by Apple, Google, or another application marketplace, as applicable.
The creation or use of an App Store or Google Play account in the Client’s name does not transfer ownership of WebGenius source code, application design, UX/UI, framework, backend, libraries, systems, or proprietary technology to the Client.
Publication of an application in the Client’s developer account also does not create a right to receive, transfer, copy, or reuse WebGenius source code or proprietary application technology.
10. App Store and Google Play Rules, Reviews, Suspensions, and Delays
Apple, Google, and other application marketplaces are independent third parties and control their own review procedures, technical requirements, verification processes, policies, approval decisions, publication schedules, removals, suspensions, restrictions, account locks, and enforcement actions.
The Client must comply with all applicable Apple App Store, Apple Developer, Google Play, Google Play Console, and other marketplace rules and requirements.
WebGenius is not responsible for delays in application review or upload, rejection of an application or update, changes in third-party policies, suspension or removal of an application, closure or restriction of a developer account, verification delays, third-party outages, or other actions controlled by Apple, Google, or another marketplace.
WebGenius will use commercially reasonable efforts to assist with technical matters within the scope of the Client’s active service, but WebGenius cannot guarantee approval, publication, continued listing, review time, availability, or reinstatement by any third-party application marketplace.
11. Automatic Subscription Payments
WebGenius subscriptions may be billed automatically through payment processors, billing platforms, Client accounts, applications, invoices, or other authorized payment methods, including services such as Stripe, Wave, or other payment providers used by WebGenius.
By authorizing a recurring subscription and providing a payment method, the Client authorizes applicable recurring charges according to the selected service plan, subject to applicable law.
The Client is responsible for maintaining a valid and usable payment method and for monitoring credit card expiration, replacement cards, card cancellation, card restrictions, bank restrictions, insufficient funds, failed payments, declined transactions, billing information, payment authorization, and other payment issues.
WebGenius is not responsible for a Client's failure to maintain a valid payment method. Where applicable law provides additional automatic-renewal or cancellation rights, those legal requirements will apply.
12. Failed Payment Means Service May Be Suspended
Payment is a condition of continued access to WebGenius subscription services.
If an applicable payment cannot be successfully collected for any reason, WebGenius may immediately suspend the applicable website, application, hosting, backend, platform, and related services without being required to continue providing unpaid service.
Reasons may include, without limitation:
· Expired credit card
· Declined credit card
· Canceled or blocked credit card
· Insufficient funds
· Bank rejection
· Payment processor rejection
· Chargeback
· Payment authorization failure
· Failed recurring payment
· Unpaid invoice
· Reversed payment
· Other failure to receive amounts due
During suspension, the website or application may become unavailable or lose functionality. The Client remains responsible for correcting the payment issue.
13. No Obligation to Keep an Unpaid Service Active
WebGenius is not required to continue hosting, operating, displaying, maintaining, supporting, updating, or providing access to a website, application, platform, backend, or related service for which required payment has not been received.
There is no grace period unless WebGenius expressly provides one in writing or applicable law requires one. Failure to receive payment may result in immediate interruption of service.
WebGenius is not responsible for losses resulting from a Client’s failure to maintain required payment, including loss of website or application availability, traffic, leads, inquiries, sales, rankings, customer access, or other business activity.
14. Reactivation After a Payment Failure
If service has been suspended because of a temporary payment issue, WebGenius may, at its discretion, allow the Client to correct the payment issue and request reactivation. Reactivation is not automatic.
Depending on the circumstances, WebGenius may require payment of all outstanding balances, a valid payment method, a reactivation fee, payment for technical work, a new invoice, a new subscription, or a new service agreement.
If technical work is required to reactivate or restore the service, WebGenius may charge an additional fee. The applicable fee will be communicated separately based on the work required at that time.
15. Reactivation Is Not Guaranteed
WebGenius does not guarantee that a suspended or terminated website, application, or related environment can always be restored.
If the environment or associated information has already been deleted, expired, overwritten, corrupted, or otherwise become unavailable, restoration may not be possible. In such circumstances, the Client may need to purchase a new service and the website or application may need to be recreated.
16. Cancellation and Termination
A Client may cancel its subscription subject to the applicable service agreement, subscription terms, and applicable law. WebGenius may also terminate or suspend service as permitted by this Policy, applicable agreements, or law.
Upon effective cancellation or termination:
· The Client's license to use the WebGenius website, application, or platform ends.
· The website or application may be taken offline or lose WebGenius-controlled functionality.
· Hosting may end.
· Administrative access may end.
· Maintenance and support may end.
· Platform access may end.
· WebGenius has no obligation to transfer the website, application, source code, or proprietary implementation to another provider.
The Client's historical payments do not create a continuing right to use the website, application, or WebGenius technology after termination.
17. 24-Hour Operational Data Retention Following Final Termination
Clients are responsible for obtaining any eligible Client Content or Client Data they wish to retain before the effective termination of service.
Following final termination or cancellation, WebGenius may begin deleting the Client’s active website or application environment and Client Content as soon as 24 hours after termination.
After that period, WebGenius has no obligation to retain, preserve, restore, recover, archive, or provide the terminated environment or its Client Content.
Certain limited information may nevertheless be retained where reasonably required for accounting, tax records, invoices, payment records, fraud prevention, security logs, dispute resolution, chargebacks, legal compliance, enforcement of agreements, or other legitimate business or legal obligations.
Residual copies may temporarily remain in automated technical backup systems until overwritten or deleted through normal backup cycles. Such residual copies are not considered an available Client backup and WebGenius has no obligation to restore or provide them.
18. Client Responsibility Before Cancellation
The Client is responsible for preserving Client-owned information before cancellation. Before ending service, the Client should obtain any Client Content or Client Data it wishes to keep.
WebGenius is not responsible if the Client cancels service without first retaining its Client Content. The Client should not rely on WebGenius as permanent archival storage.
19. Regular Website and Service Backups During Active Service
During an active and paid subscription, WebGenius generally performs periodic backups of supported hosted website environments as part of its managed hosting practices.
For many standard WebGenius websites, backups are generally created approximately weekly. When technically available, WebGenius may be able to restore a website from a recent backup.
Backups are intended primarily for operational recovery, are not guaranteed permanent archives, may not contain every change or record, may overwrite later changes when restored, and are not guaranteed to remain available after termination.
The Client should maintain independent copies of critical business information.
20. Hosting
WebGenius may provide managed hosting as part of an active subscription.
Depending on the applicable plan, hosting may include server infrastructure, storage, bandwidth, SSL-related services, monitoring, security services, software maintenance, platform updates, technical administration, and backup systems.
Hosting exists as part of the subscription service and does not transfer ownership of WebGenius server configurations, platform technology, software, infrastructure, or website/application technology to the Client.
21. Domains and DNS
Domain ownership and domain registration are separate from ownership of the WebGenius website, application, platform, or technology.
Domains registered or managed by WebGenius on behalf of a Client may be held and administered through WebGenius accounts as part of the Client relationship. Such administrative custody does not give the Client ownership of the WebGenius website, source code, platform, or technology connected to the domain.
Where the Client is entitled to the domain, the Client may request transfer of the domain in accordance with the applicable registrar rules, this Policy, and the transfer procedure below.
The Client may change DNS or nameservers after obtaining control of the domain, but moving the domain does not move the WebGenius website or application.
22. Domain Transfer Procedure
A domain transfer must follow a documented process. To request transfer of a domain registered or managed through WebGenius, the Client must:
1.Submit a formal written transfer request from the Client’s verified email address or another identity-verified communication channel accepted by WebGenius.
2.Confirm in writing that the applicable business relationship and services with WebGenius have ended or that the domain is being transferred as authorized by WebGenius.
3.Fully settle all outstanding amounts due to WebGenius relating to the domain, applicable services, invoices, administrative work, or other amounts contractually due.
4.Confirm in writing that, once the domain Authorization Code / EPP Code / Transfer Code is provided, the Client accepts responsibility for completing the transfer with the destination registrar.
Once the applicable requirements are completed and the domain is eligible for transfer, WebGenius will take the necessary steps to unlock the domain and provide the available Authorization Code or transfer information through the appropriate verified channel.
After WebGenius provides the Authorization Code or other required transfer credentials, responsibility for initiating, completing, monitoring, and troubleshooting the transfer with the destination registrar belongs to the Client. WebGenius is not responsible for transfer delays, transfer failures, registrar restrictions, expiration of transfer requests, incorrect destination account information, or other events occurring after the transfer credentials have been provided, except to the extent caused directly by WebGenius.
Domain transfers are also subject to registrar, registry, ICANN, security, fraud-prevention, lock, verification, and other applicable rules. WebGenius cannot override mandatory third-party transfer restrictions or waiting periods.
23. No Ownership Created by Length of Service or Amount Paid
No ownership rights in WebGenius technology arise because the Client has used WebGenius for many years, paid recurring fees for many years, paid a substantial total amount, paid for customization, paid an initial development or setup fee, paid hosting fees, or paid maintenance fees.
All such payments are consideration for the applicable services, licenses, access, development work, customization, hosting, support, application services, or subscription period described in the applicable agreement, invoice, or service arrangement.
24. No Source Code, Website, or Application Transfer Upon Termination
Upon cancellation or termination, WebGenius is not required to provide:
· Website source code
· HTML files
· CSS files
· JavaScript files
· Backend code
· Front-end implementation
· CMS source code
· Templates
· Website layouts
· UX/UI design files
· Design system files
· Components
· Frameworks
· Libraries
· Server configurations
· Proprietary databases
· Internal APIs
· Administrative tools
· Development files
· iOS source code
· Android source code
· Mobile application frameworks
· Application backend source code
· A clone of the website or application
· A downloadable operational website or application
· A package that recreates the website or application elsewhere
The Client’s right is a right to use the applicable WebGenius service during the paid subscription period — not a right to acquire the WebGenius website, application, source code, or technology.
25. Service Approval, Invoices, Payment, and Execution
WebGenius offers a wide range of digital marketing, website, application, hosting, technology, advertising, content, and related services. The Client may choose some services and not others.
Except for recurring services already approved under an active subscription, every new, additional, one-time, or changed service follows the same process:
· Step 1 — The service, scope, pricing, discounts, and any applicable offer are discussed or coordinated with the Client.
· Step 2 — The Client approves the service and applicable terms.
· Step 3 — The approved service and price are recorded in an invoice, proposal, order, or other written billing document.
· Step 4 — The Client pays the applicable amount.
· Step 5 — After payment is received, WebGenius performs or begins the approved service in accordance with the applicable scope and schedule.
Payment of an invoice constitutes confirmation and acceptance of the services, scope, pricing, discounts, offers, and other items stated in that invoice, together with the applicable governing terms, except where applicable law requires a separate form of consent.
At the end of a billing period, WebGenius and the Client may review the Client’s needs and requests for the next period. Any new or additional service will follow the same approval → invoice → payment → execution process.
Recurring monthly or subscription services that were previously approved may continue and be billed according to the agreed recurring terms unless changed or canceled in accordance with the applicable agreement and law.
WebGenius does not intentionally add undisclosed surprise service charges at the end of a billing period. New charges for additional services are coordinated with the Client, approved by the Client, recorded in the applicable invoice or billing document, and paid before the related service is performed, unless a different written arrangement applies.
26. Third-Party Services
WebGenius may use third-party providers for payment processing, billing, cloud services, hosting infrastructure, domain services, email, APIs, CRM, analytics, AI services, payment gateways, Apple services, Google services, application marketplaces, advertising platforms, and other software or infrastructure.
Third-party services remain subject to their own terms, systems, availability, pricing, policies, verification requirements, review processes, restrictions, and decisions.
WebGenius is not responsible for outages, restrictions, payment failures, account restrictions, pricing changes, review delays, service changes, suspensions, removals, or other actions caused or controlled by third parties.
27. No Reverse Engineering or Reuse
Except to the extent a restriction is prohibited by applicable law, the Client may not:
· Reverse engineer WebGenius technology
· Copy WebGenius templates or application frameworks
· Extract proprietary code
· Copy WebGenius HTML/CSS/JavaScript for reuse
· Extract or reuse iOS or Android application source code
· Reproduce WebGenius platform functionality
· Redistribute WebGenius software
· Resell WebGenius technology
· Provide WebGenius source code or proprietary materials to another developer
· Circumvent technical protections
· Attempt to recreate WebGenius proprietary systems from protected materials
28. Website, Application, and Service Availability
WebGenius uses commercially reasonable efforts to maintain reliable services but does not guarantee uninterrupted or error-free operation.
Service interruptions may occur due to maintenance, security events, Internet outages, DNS problems, third-party failures, hardware failures, software failures, cyber incidents, application marketplace actions, force majeure, or other circumstances.
Unless a separate written Service Level Agreement states otherwise, WebGenius does not guarantee 100% uptime, uninterrupted application availability, continuous listing in an application marketplace, or uninterrupted operation of third-party services.
29. Acceptance Through Multiple Channels
The Client may become bound by applicable subscription and service terms through one or more methods, including:
· Online account creation
· Checkbox or electronic acceptance
· Subscription checkout
· Electronic signature
· Signed service agreement
· Approved proposal
· Invoice approval
· Payment of an invoice
· Recurring payment authorization
· Continued use of services
Where appropriate, WebGenius may maintain records of subscription acceptance, payment authorization, invoices, agreements, approvals, and account activity.
30. Entire Subscription Principle
The fundamental basis of WebGenius services is:
Client Content remains the Client's.
WebGenius technology remains WebGenius's.
An active and paid subscription gives the Client the right to use the applicable WebGenius website, application, platform, or service.
When the subscription ends, that right to use the service ends.
Nothing in the Client’s payments, duration of service, domain ownership, application marketplace account ownership, customization, publication of an application, or use of the services changes this fundamental subscription model.
31. Policy Updates
WebGenius may update this Policy to reflect changes in its platform, services, pricing, technology, security requirements, business practices, third-party requirements, or legal requirements.
Any update will apply subject to applicable law and any enforceable obligations applicable to the Client’s existing service relationship.
AI Assistant & AI Agent Subscription, Ownership and Responsibility
The WebGenius AI Assistant and AI Agent services are provided as subscription-based proprietary technology services.
The Client receives only a limited right to use the AI Assistant or AI Agent while the applicable subscription remains active and fully paid.
The Client does not purchase or acquire ownership of the AI Assistant, AI Agent, software, source code, system architecture, prompts, prompt structures, instructions, workflows, automation logic, integrations, APIs, interfaces, databases, configuration, training structure, orchestration logic, business rules, models, scripts, backend systems, front-end implementation, or other WebGenius proprietary technology.
All such technology, systems, designs, implementations, configurations, and proprietary materials remain the exclusive property of WebGenius and/or its applicable licensors.
Payment of any setup fee, development fee, customization fee, training fee, integration fee, subscription fee, maintenance fee, or other service fee does not transfer ownership of any WebGenius AI technology to the Client.
The Client receives only the right to use the applicable AI service during the active paid subscription period.
When the subscription ends, the Client's right to use the AI Assistant or AI Agent ends.
No Source Code, System or Technology Transfer
The Client has no right to request, receive, copy, download, extract, transfer, reproduce, sublicense, resell, or reuse:
- AI Assistant source code
- AI Agent source code
- Prompt architecture
- System prompts
- Prompt libraries
- Workflow logic
- Automation logic
- AI orchestration
- Backend systems
- Front-end implementation
- APIs
- Integration logic
- Databases or proprietary database structures
- Configuration files
- Scripts
- Internal tools
- Training systems
- Knowledge-processing systems
- Proprietary instructions
- Business logic
- Agent behavior logic
- Decision trees
- Custom AI implementation
- WebGenius software or platform technology
The Client may not provide WebGenius proprietary AI technology, source code, prompts, workflows, configurations, or implementation to another developer, AI provider, software company, or third party for reproduction or reuse.
The fact that an AI Assistant or AI Agent has been customized for the Client does not create ownership rights in the underlying technology.
Client Data Does Not Create Ownership of the AI System
The Client may retain ownership of original business information, documents, content, FAQs, product data, service information, policies, or other materials independently owned by the Client and supplied for use by the AI Assistant or AI Agent.
However, providing Client Data does not give the Client ownership of the AI Assistant, AI Agent, source code, prompt structure, workflows, automation, integrations, system architecture, or WebGenius technology used to process or respond to that information.
Subscription and Service Suspension
The AI Assistant and AI Agent are available only while the applicable subscription is active and paid.
If payment fails, the subscription expires, the service is canceled, or the account is suspended, WebGenius may suspend or terminate access to the AI Assistant or AI Agent.
WebGenius is not required to continue operating or maintaining an unpaid AI service.
Reactivation may require payment of outstanding balances, a valid payment method, a reactivation fee, technical work, or a new subscription.
AI-Generated Responses May Be Incorrect
Artificial intelligence systems may generate responses that are inaccurate, incomplete, outdated, inconsistent, misleading, inappropriate, or incorrect.
WebGenius does not guarantee that every answer, statement, recommendation, action, decision, or response generated by an AI Assistant or AI Agent will be accurate, complete, current, or appropriate for every situation.
The Client must not rely on AI-generated responses as the sole source of truth.
The Client is responsible for reviewing and verifying AI-generated responses before relying on them for important business, legal, financial, medical, regulatory, operational, or customer-related decisions.
Client Responsibility for Monitoring
The Client is responsible for actively monitoring the AI Assistant or AI Agent and its communications.
Where the AI system communicates directly with customers, users, leads, patients, clients, or the public, the Client should review the system and its responses daily or as frequently as reasonably appropriate for the nature and risk level of the Client's business.
The Client is responsible for:

- verifying important factual information;
- identifying inaccurate, outdated, or inappropriate responses;
- informing WebGenius when updates or corrections are required;
- maintaining accurate business information;
- keeping pricing, services, business hours, policies, product information, and other data current;
- deciding whether AI-generated information is appropriate before relying on or acting upon it.
Responsibility for Client-Supplied Information
The performance and accuracy of the AI Assistant or AI Agent may depend on information supplied or approved by the Client.
The Client is responsible for ensuring that any business information, documents, pricing, policies, services, instructions, data, or other materials supplied for use by the AI system are accurate, lawful, current, and complete.
WebGenius is not responsible for incorrect AI responses caused by inaccurate, outdated, incomplete, conflicting, or misleading information supplied by the Client or third parties.
Actions Performed by AI Agents
Where an AI Agent is configured to perform actions, including sending messages, scheduling appointments, creating records, communicating with customers, processing requests, or interacting with third-party systems, the Client remains responsible for determining whether such actions are appropriate for its business.
The Client is responsible for reviewing and supervising automated workflows and agent actions.
WebGenius does not guarantee that every automated action will occur exactly as intended in every circumstance.
No Professional Advice
Unless expressly agreed and provided through a properly qualified professional, the AI Assistant or AI Agent is not intended to provide legal, medical, financial, tax, accounting, investment, or other regulated professional advice.
AI-generated information should not replace professional judgment or advice where professional review is appropriate.
Third-Party AI and Technology Providers
WebGenius AI services may rely on third-party technologies, including:
- AI models
- Large language models
- APIs
- Cloud infrastructure
- Communication platforms
- Databases
- CRM systems
- Scheduling systems
- Voice services
- Messaging services
- Email systems
- Payment systems
- Other software providers
Third-party providers may change their services, APIs, models, pricing, functionality, usage limits, availability, policies, or technical requirements at any time.
WebGenius is not responsible for interruptions, delays, restrictions, inaccuracies, outages, suspensions, changes, or failures caused by third-party providers.
The Client is also responsible for complying with applicable third-party terms, laws, policies, and acceptable-use requirements.
No Guarantee of Continuous or Identical Performance
WebGenius does not guarantee that the AI Assistant or AI Agent will operate continuously, without interruption, without errors, or with identical responses at all times.
AI responses may vary, even when similar questions are asked.
WebGenius may update, modify, reconfigure, retrain, replace, restrict, or improve components of the AI Assistant or AI Agent where reasonably necessary for maintenance, security, service improvement, legal compliance, technical requirements, or third-party provider requirements.
Responsibility for Use of AI Output
The Client is responsible for decisions, actions, communications, representations, transactions, commitments, and consequences resulting from its use of AI-generated responses or automated actions.
To the maximum extent permitted by applicable law, WebGenius is not responsible for losses, claims, damages, customer complaints, disputes, business decisions, or other consequences resulting from reliance on AI-generated responses without appropriate Client review.
No Reverse Engineering or Reuse
Except where prohibited by applicable law, the Client may not:
- reverse engineer the AI Assistant or AI Agent;
- attempt to discover source code;
- extract proprietary prompts;
- reproduce WebGenius workflows;
- recreate WebGenius automation logic;
- copy or redistribute proprietary system configurations;
- bypass technical protections;
- provide WebGenius proprietary AI technology to another developer;
- use WebGenius proprietary AI systems to build a competing or substantially similar system.
AI Subscription Principle
The fundamental basis of the WebGenius AI Assistant and AI Agent service is:
The AI Assistant and AI Agent are subscription services.
The Client receives only the right to use the service while the subscription is active and paid.
The AI system, source code, prompts, workflows, automation, architecture, integrations, and implementation remain WebGenius property.
Client-owned business data remains Client-owned, but does not create ownership of the AI system.
AI-generated responses must be reviewed and monitored by the Client.
When the subscription ends, the Client's right to use the AI Assistant or AI Agent ends.
